Welcome to the Toosapp Web Site ("Web Site"), a web site operated by AssembleCircle (referred to as "AssembleCircle", "we" or "us" in these Terms of Use).  

1. Nature and scope of the terms and conditions

These terms and conditions describe the relationship between AssembleCircle and the member (hereinafter referred to as "member") or non-members who use the Toosapp service, and contain useful information that may be helpful in using the Toosapp service.

When you use the Toosapp service or sign up as a member, you confirm or agree to these terms and conditions. These terms and conditions are basically applied to all services of the Toosapp, but separate terms and operating policies may be applied for each individual service to comply with relevant laws and to achieve the purpose of each service.

2. Toosapp Service

Toosapp Service is a dental information platform designed by orthodontic specialists and oral surgeons and developed by orthodontic specialists. You can use the Toosapp service using a device that can connect to the Internet, such as a PC or mobile phone. Toosapp services include dental medical record management service, dental medical information provision service, communication service with the attending dentists or doctors, orthodontic and orthognathic surgery appearance change simulation service, dentist and doctor search service, treatment review sharing community, etc. Regarding specific contents of individual services, please refer to the Toosapp website.

Toosapp services include services to provide medical information related to orthodontic, orthognathic and cosmetic surgery. Toosapp Services can help you obtain information about orthodontic, orthognathic and dental or plastic surgery, but Toosapp Services is not a medical institution or healthcare provider and does not provide medical advice or diagnosis. In other words, Toosapp service does not function as a substitute for a service that provides expert opinion or professional opinion in any way. The AssembeCircle recommends that the member receive treatment through consultation with a medical professional along with the Toosapp service.

AssembleCircle provides the same service to all members, but the scope of the service provided for each individual service may be limited to comply with relevant laws and regulations and to achieve the purpose of the individual service. For example, some of the Toosapp's services may be provided only to members with medical qualifications, and members who wish to use these services may be required to provide medical qualifications to facilitate service delivery.

AssembleCircle may modify, suspend, or terminate part or all of the Toosapp website or the content of the Toosapp services for reasons of compliance with related laws and regulations, maintenance and management of services, and business judgment. For example, to perform routine or non-routine maintenance of the Toosapp service, to correct errors, or to perform other changes, we may suspend the Toosapp homepage or some of the Toosapp services as necessary. In addition, the AssembleCircle may suspend the operation of the Toosapp service in a certain residential area, and if a member violates these Terms and Conditions and related laws, it may stop providing the Toosapp service to the member.

Toosapp service is currently provided for free, but some or all of the Toosapp service may be converted to a paid service. If some or all of the Toosapp service is converted to a paid service, we will inform you of the scope and price policy of the Toosapp service that is converted to a fee in advance.

3. Membership registration

If you agree to these terms and conditions, you can apply for membership, and AssembleCircle approves the membership application and grants you an account for using the Toosapp service (hereinafter, ‘account’). Account is a member identification unit set up to allow members to conveniently use various Toosapp services. Members can easily and conveniently use various Toosapp services through their account.

4. Intellectual Property Rights

Intellectual property rights of the contents (hereinafter referred to as “contents'') created by a member in the process of using the Toosapp service belong to the member in accordance with relevant laws and regulations. Intellectual property rights related to the Toosapp service (for example, trademarks of AssembleCircle) and stored on the Toosapp homepage. The intellectual property rights of all materials that are displayed, displayed or accessible to you are owned or licensed by AssembleCircle. You may modify, copy, reproduce, republish, upload, post, transfer, distribute, sell, license, lease, publicly display or perform, edit, or otherwise modify, copy, reproduce, republish, upload, post, transmit, distribute, sell, or otherwise modify, in any way, without the written consent of the Assemblies Secondary works cannot be produced.

AssembleCircle is not responsible for any infringement of the intellectual property rights of a third party that occurs in the process of creating contents by a member, or disputes between members of intellectual property rights arising from members' use of contents such as other members.

5. Data Management Policy

Toosapp service needs to transfer, store, copy, delete, and edit data related to the cloud service. In addition, Toosapp needs to index content to retrieve, protect and back up data.

Members are deemed to have given AssembleCircle the authority to manage data by using the Toosapp service. When a member provides data to the Toosapp service, the member is deemed to have licensed the right to use, store, copy, modify, transmit, disclose, explain, publicly post, distribute, or create derivative works derived from the above data to AssembleCircle.

The above license is valid even after the member stops using the Toosapp service or deactivates the account, and AssembleCircle can use the above data to improve the existing Toosapp service or develop new Toosapp services through the above license. Toosapp will do its best to provide more convenient and useful services to you through continuous service improvement and research and development.

6. Protection and management of personal information

AssembleCircle collects and uses personal information included in the data provided by the member only within the purpose and scope agreed by the member, and does not provide it to third parties other than AssembleCircle without the consent of the member, and in accordance with laws and regulations related to personal information protection. It is managed safely.

The information subject of the above personal information may request AssembleCircle to view, correct, or delete personal information at any time, and may withdraw the consent to provide the above personal information to AssembleCircle.

7. Member’s Responsibilities

You are deemed to have agreed that you are responsible for checking and complying with these Terms and Conditions upon signing up. If a member violates these terms and conditions, the provision of the Toosapp service may be suspended and the account may be suspended. For example, members must not do the following actions.

• Misrepresenting member information when registering as a member, selling, transferring, lending, or providing your account to others as collateral, permitting the use, or unauthorized use of another person's account
• Using the Toosapp service for false or illegal purposes, impersonating an individual or organization, or using the Toosapp service for the purpose of falsely stating or falsely describing affiliation with the individual or group.
• Any action that interferes with the operation or access of the Toosapp service, damages the Toosapp service, steals the operation of the Toosapp service, or monitors hardware, software, or equipment that may harm, intrude, damage or damage the website, Transferring any viruses, worms, Trojans, time bombs, spyware or other computer code, files, or programs, limiting or prohibiting the ability of others to use the Toosapp service.
• Removing, blurring, or modifying copyright, trademark or other proprietary notices on the Toosapp website.

If a member does not fulfill the obligations under these terms and conditions, even if AssembleCircle does not immediately claim the rights to the member or delays the enforcement of the rights, this does not mean that AssembleCircle has waived the above rights. If AssembleCircle decides not to exercise the right of AssembleCircle in accordance with the member's failure to fulfill its obligations under these terms and conditions, AssembleCircle will only do this through a written procedure.

8. AssembleCircle’s Responsibilities

If you suffer damage due to the intention or negligence of AssembleCircle in the process of using the Toosapp service, AssembleCircle compensates for your damage in accordance with the relevant laws and regulations. However, AssembleCircle is not responsible for any special or punitive damages that are not normally foreseeable. Even if the above damages are caused by natural disasters or equivalent force majeure, AssembleCircle is not responsible.

AssembleCircle makes no warranty, express or implied, as to the accuracy, appropriateness, timeliness, completeness, and reliability of the following items.

• Results of Toosapp service (simulation results, etc.)
• Contents created by members in the process of using Toosapp service
• All content included in or delivered through the Toosapp homepage
• All content delivered from a doctor or dentist through the Toosapp service

Toosapp homepage may contain links to third-party websites, including social media websites such as "Facebook" and "Twitter", but this is provided solely for the convenience of members, and AssembleCircle does not endorse the content of external websites or social media linked to the Toosapp homepage.

AssembleCircle is not responsible for any loss or damage to computers or mobile devices caused by virus infection or distributed service attack while you use the Toosapp homepage or an external website linked to the above homepage.

You must not use the Toosapp service for any commercial or business purposes, and AssembleCircle will not be liable for any liability or loss of any kind incurred by you.

9. Delivery of opinions and improvements

Members can communicate their opinions or improvements to the Toosapp service at any time through the Toosapp Service Customer Center (admin@assemblecircle.com).

10. Dispute Resolution

The relationship between AssembleCircle and the member in relation to these terms and conditions or the Toosapp service is governed by Korean law. Any dispute arising between AssembleCircle and the member, any dispute arising out of these terms and conditions or in connection with the Toosapp service will be resolved in accordance with the procedures prescribed in the Civil Procedure Act of the Republic of Korea.

11. Revision of Terms and Conditions

AssembleCircle may revise these Terms and Conditions within the scope of not violating relevant laws and regulations. If these Terms and Conditions are revised, we will notify you in advance of the reason for the revision and the effective date. You can send your opinion on the revision of the terms from the date the revised terms are posted on the Toosapp website to the effective date. If your opinion is not communicated to AssembleCircle by the expiration of the above period, you are deemed to agree to the revised terms. If you do not agree to the revised terms and conditions, you may not be able to offer the Toosapp services subject to the revised terms and conditions.

This Privacy Policy (the "Policy") explains the way of treatment of the information which is provided or collected in the websites on which this Policy is posted. In addition the Policy also explains the information which is provided or collected in the course of using the applications of Toosapp which exist in the websites or platforms of other company.

Through this Policy, Toosapp regards personal information of the users as important and inform them of the purpose and method of Toosapp's using the personal information provided by the users and the measures taken by AssembleCircle for protection of those personal information.

This Policy will be effective on the 15th day of November, 2020 and, in case of modification thereof, Toosapp will make public notice of it through posting it on the bulletin board of Toosapp’s website or individual notice through sending e-mails.

2. Use of collected information

Toosapp uses the collected information of users for the following purposes:

• Member management and identification
• Collect and store it for your continued use of our website and Services;
• To detect and deter unauthorized or fraudulent use of or abuse of the Service
• Performance of contract and service fee settlement regarding provision of services demanded by the users
• Improvement of existing services and development of new services
• Making notice of function of company sites or applications or matters on policy change
• To help you connect with other users you already know and, with your permission, allow other users to connect with you
• To make statistics on member’s service usage, to provide services and place advertisements based on statistical characteristics
• To provide information on promotional events as well as opportunity to participate
• To comply with applicable laws or legal obligation
• Use of information with prior consent of the users (for example, utilization of marketing advertisement)

Toosapp agrees that it will obtain consent from the users, if Toosapp desires to use the information other than those expressly stated in this Policy.

3. Sharing collected information

Except for the following cases, Toosapp will not share personal information with a 3rd party:

• when Toosapp shares the information with its affiliates, partners and service providers;
  • when Toosapp's affiliates, partners and service providers carry out services such as bill payment, execution of orders, products delivery and dispute resolution (including disputes on payment and delivery) for and on behalf of Toosapp
• when the users consent the sharing in advance;
  • when the user selects to be provided by the information of products and services of certain companies by sharing his or her personal information with those companies
  • when the user selects to allow his or her personal information to be shared with the sites or platform of other companies such as social networking sites
  • other cases where the user gives prior consent for sharing his or her personal information
• when the sharing is required by the laws
  • if required to be disclosed by the laws and regulations; or
  • if required to be disclosed by the investigative agencies for detecting crimes in accordance with the procedure and method as prescribed in the laws and regulations

4. Cookies, Beacons and Similar Technologies

Toosapp may collect collective and impersonal information through 'cookies' or 'web beacons'. Cookies are very small text files to be sent to the browser of the users by the server used for operation of the websites of Toosapp and will be stored in hard-disks of the users' computer. Web beacon is a small quantity of code which exists on the websites and e-mails. By using web beacons, we may know whether a user has interacted with certain webs or the contents of email. These functions are used for evaluating, improving services and setting-up users' experiences so that much improved services can be provided by Toosapp to the users. The items of cookies to be collected by Toosapp and the purpose of such collection are as follows:

The users have an option for cookie installation. So, they may either allow all cookies by setting option in web browser, make each cookie checked whenever it is saved, or refuses all cookies to be saved: Provided that, if the user rejects the installation of cookies, it may be difficult for that user to use the parts of services provided by Toosapp.

5. Users' right to access and option

The users or their legal representatives, as main agents of the information, may exercise the following options regarding the collection, use and sharing of personal information by Toosapp:

• exercise right to access to personal information;
• make corrections or deletion;
• make temporary suspension of treatment of personal information; or
• request the withdrawal of their consent provided before

If, in order to exercise the above options, you, as an user, use the menu of 'amendment of member information of webpage or contact Toosapp by using representative telephone or sending a document or e-mails, or using telephone to the responsible department (or person in charge of management of personal information), Toosapp will take measures without delay: Provided that Toosapp may reject the request of you only to the extent that there exists either proper cause as prescribed in the laws or equivalent cause.

6. Security

Toosapp regards the security of personal information of uses as very important. Toosapp constructs the following security measures to protect the users' personal information from any unauthorized access, release, use or modification.

In order to prevent the loss, theft, leakage, alteration or damage of personal information of the users, Toosapp takes technical, managerial and physical measures for securing safety as follows:

Toosapp has the right to amend or modify this Policy from time to time and, in such case, Toosapp will make a public notice of it through bulletin board of its website (or through individual notice such as written document, fax or e-mail) and obtain consent from the users if required by relevant laws.

(If used in the US, additional security measures may be available) In addition, when the personal information obtained from the European Union is used or disclosed, Toosapp may have to comply with safe harbor principle as required by the Commerce Department of USA, take other measures or obtain consent from users so far as those complies with the regulations of EU so as to use a standardized agreement provision approved by executing organizations of EU or securing proper safe measures.

The website, product or service of Toosapp may include the links to the ones of a 3rd party and the privacy protection policy of the site of 3rd party may be different. Thus, it is required for the users to check additionally that policy of a 3rd party site linked to the site of Toosapp.

[Guide for users residing in California]

If the user resides in California, certain rights may be given. Toosapp prepares preventive measures necessary for protecting personal information of members so that Toosapp can comply with online privacy protection laws of California. In case of leakage of personal information, a user may request Toosapp to check the leakage. In addition, all the users in the website of Toosapp, can modify their information at any time by using the menu for changing information by connecting their personal account. Moreover, Toosapp does not trace the visitors of its website nor use any signals for 'tracing prevent'. Toosapp will not collect and provide any personal identification information through ad services without consent of users.
